Qualification as Designated Professional

Applications to become a Designated Professional are regularly considered by Investbx Limited in its absolute discretion and appointment as a Designated Professional is valid for 12 months from the date an application is accepted. Investbx Limited will determine the capacity in which Designated Professionals may operate by reference to the following three categories:

  • Corporate adviser;
  • Reporting accountant;
  • Legal adviser.

In order to become a Designated Professional a firm must:

  • be in good standing with their regulatory body or bodies;
  • maintain a permanent establishment in the West Midlands staffed by appropriately qualified personnel to carry out the role of Designated Professional;
  • demonstrate evidence that the firm has played a significant role as corporate adviser, reporting accountant or legal adviser, in raising capital from investors in the 12 months prior to Admission;
  • agree to act with due care, skill and competence in relation to its responsibilities under the Admission Principles, and
  • join the appropriate Investbx panel from which issuers must select their advisers.

Companies who currently have retained advisers from outside of the West Midlands may be able to continue to use such advisers to apply for Admission at the absolute discretion of Investbx Limited. With the exception of location, such retained advisers must be able to satisfy the requirements for becoming a Designated Professional for the purposes of conducting the transaction but will not be eligible to join an Investbx panel.

Investbx Limited reserves the right to request and take up references in relation to an application to become a Designated Professional.
