New issues service

Investbx is aimed at SME companies with a significant part of their operations in the West Midlands and especially those seeking to raise up to £2 million of equity capital for expansion or growth.

Investbx’s new issues service raises money for Companies from Investbx’s investor base and, through Partner Intermediaries, from other investors. Investbx Limited charges a commission from the Company based on total funds raised. The new issues team (which is independent of the Admissions Committee) will work closely with the Company and its Designated Professionals in the period prior to Admission.

Companies seeking to raise money on Investbx for the first time must apply for admission of their ordinary share capital to trading on Investbx in accordance with its Admission requirements. This will usually require the preparation and issue of an Admission Document.

Prior to the issue of a formal Admission Document, companies will be “pre-marketed” to Cornerstone Group investors. Then, following formal issue of an Admission Document, details of the relevant Company will appear on the Companies Raising Equity section of the website and the share offer will usually be available to the general public.

The offer price of the new Shares will be set by the Company and its Corporate Adviser following pre-marketing to the Cornerstone Group. Those who have indicated a firm intention to invest during pre-marketing may be offered the opportunity to subscribe for Shares at a discount to the final offer price.

Offers will indicate a minimum funding level for the Company, which must provide sufficient working capital for a minimum of 12 months from the date of Admission, and a maximum funding level. Offers will close 40 days after they have been made public or when the maximum subscription level is reached, if earlier. New issues must reach their minimum funding level no later than 21 days after publication of the Admission Document or they will lapse. Application Forms for those wishing to subscribe for new issues will be made available for completion on the Investbx website. Applications will be dealt with on a first-come first-served basis.
