The Admissions Committee expects every Company to:
- Develop a close and informative relationship with its shareholders and the Investbx investor base;
- Maintain an open and professional relationship with Investbx Limited and the Company’s own professional advisers, including its Designated Professionals;
- Provide Investbx Limited with any required information relating to the Company and its business in a timely manner and ensure that the information is accurate, complete and not misleading;
- Announce, as soon as possible, all Price Sensitive Information to Investbx Limited for publication on the Investbx Limited or Investbx Promotions Limited and Sharemark websites in order to keep investors fully aware of developments within its business;
- Maintain familiarity and compliance with the Admission Principles, as amended from time to time;
- Have sufficient procedures, resources and controls in place to enable compliance with the Admission Principles;
- Have proper regard to corporate governance and ensure that it has corporate governance procedures commensurate with the size of its business;
- Adopt a dividend policy which reflects investors’ requirements for investment income as well as capital growth;
- Comply with all applicable legal and regulatory responsibilities at the time of Admission and thereafter, including the adherence to all proper standards of market conduct; and
- To hold, if Investbx is its primary trading facility, annual general meetings and any extraordinary general meetings in the West Midlands.
